Graphic Packaging Announced Plan: Senior Notes Offering

Graphic Packaging International, LLC, a direct wholly owned subsidiary of Graphic Packaging International Partners, LLC, the primary specialty subsidiary of Graphic Packaging Holding Company (NYSE: GPK), announces a major plan today. A private offering was initiate with a view to selling $500 million of notes, scheduled to mature in 2032. This offering, appropriately titled “Senior Notes,” is proceeding independently of demand of registration established by the Securities Act of 1933, taking into consideration the prevailing market dynamics and other relevant factors, which may affect the process

It is important to note that the senior notes, once issued, will constitute an unsecured senior obligation of Graphic Packaging. Parent Territory Container QuerĆ©taro (USA), L.L.C., and any other domestic Graphic Packaging companies presently or in the future committed to support under its Fourth Amended Restated Credit Agreement 2021 Agreement, dated 1 April 2013, commitments and supporting these obligations involve several subsidiaries of Graphic Packaging as borrowers, as well as lenders and agents, with Bank of America, N.A., acting as agent representatives. In addition, the guarantee also extends to Graphic Packagingā€™s existing senior notes due 2024, 2026, 2027, 2028, 2029 and 2030, respectively.

The proceeds of this offering were intent to use for a number of purposes. Those including the repayment of a portion of outstanding loans under its domestic senior securities revolving credit facility, allocating funds to allocate fees and costs associated with the funding management notes. Any remaining funds will use for the overall efforts of the company, contribute to the overall efficiency and growth trajectory of the graphic packaging business.

This point needs to emphasize that under the Securities Act, qualified institutional purchasers as defined by Rule 144A, and non-U.S. individuals as specified by Regulation S are the only parties to offering. These senior notes and guarantees are not registered under the Securities Act or the securities laws of any other jurisdiction. Therefore, they may not offer or sell within the United States until registration or exemption from applicable registration requirements.
