Emerson Extends Tender Offer for AspenTech Shares to March 11

Emerson (NYSE: EMR) revealed that it will extend the deadline of its tender offer to buy the outstanding available shares of common stock of Aspen Technology, Inc (NASDAQ: AZPN) to March 11, 2025, at 5 PM Eastern Time. The purpose of this extension is to allow the purchase and tendering of shares that might be divested in light of the S&P MidCap 400 index change. S&P Global disclosed earlier that AspenTech is scheduled to be removed from the index and replaced with another company prior to market open on March 11, 2025.

AspenTech remains subjected to the tender offer until surrendering to the conditions specified within the document entitled “offer to purchase.” Previously surrendered shares do permit for holders to re-tender their shares without any additional steps.

Emerson has been notified by the depository and paying agent for the tender offer Equiniti Trust Company, LLC that as of March 7, 2025 which is the last business day before the tender offer extension announcement, about 6,715,211 shares are expected to be tendered and not withdrawn.

All the outstanding shares of common stock not already owned by Emerson represents its best and final price on $265 per share which was stated on a declaration made on February 10th, 2025.
